ScriptRunner Migration Suite Early Access Programme: Terms and Conditions

In consideration of your agreeing to participate in this early access programme (EAP) of ScriptRunner Migration Suite (SMS) for evaluation purposes, Adaptavist and you agree as follows.

Fees

There are no fees for the use of ScriptRunner Migration Suite EAP. Pricing for later stages of the product will be presented and discussed with customers during and/or after the EAP phase. The EAP version of ScriptRunner Migration Suite does not require payment from customers.

Your Participation

Your participation in the ScriptRunner Migration Suite EAP is entirely voluntary and at Adaptavist’s discretion.
You can withdraw your participation at any point if you decide to do so. You agree to notify us of all problems identified or encountered with the EAP product and all ideas for enhancements or product features which come to your attention during the term of this agreement, as well as any other suggestions, ideas, enhancement requests, feedback, code, recommendations, or other information provided (the EAP Feedback'), which shall be subject to the terms of Clause 16 ‘Ownership and Feedback’. We may contact you and you will endeavour to make available a reasonable amount of time to discuss the EAP product with us if so requested.

We retain all rights, title, and interest in and to any EAP Feedback, all of which are hereby assigned to Adaptavist.

Confidentiality and Data Privacy

We will keep confidential the information collected or recorded during the ScriptRunner Migration Suite EAP, following our Privacy Policy. You also agree to keep confidential any information shared by us with you.

You are responsible for obtaining all necessary consents, permissions and rights, and for providing appropriate notices, regarding the collection and Processing of Personal Data required under Data Protection Laws for Adaptavist to lawfully Process Personal Data to provide the Product. You shall not instruct Adaptavist to Process Personal Data in violation of Data Protection Laws. You are responsible for making an independent determination as to whether use of the Product, including information submitted by You when using the Product, will meet Your requirements and legal obligations under applicable Data Protection Laws and any other applicable terms for intellectual property rights and confidentiality. Adaptavist shall have no obligation to assess the contents or accuracy or legality of Your Data.

These terms and conditions supplement and are incorporated into the Adaptavist EULA and the Adaptavist Privacy Policy.

Fair Usage Policy

To ensure a great user experience and service reliability for all users of ScriptRunner Migration Suite, the app is subject to a fair use policy. Given the variable resource use of the product we are not able to set specific limits on the fair use of the product. The determination of usage which falls out of our definition of “Fair Use” is solely at the discretion of Adaptavist.

You agree that if your usage falls outside of “Fair use” Adaptavist may terminate or throttle your usage, or take other measures as it deems appropriate to maintain the overall service levels for the product.

General

You acknowledge and agree that in relation to the ScriptRunner Migration Suite (i) there is no guarantee of no data loss for ScriptRunner Migration Suite and (ii) we reserve the right to make underlying technical platform changes including platform(s) migration, which may impact the level of service and availability, or require you to migrate or re-create your data, or cause some data loss.

The Product uses artificial intelligence services from Anthropic and potentially other vendors and therefore you acknowledge and agree that applicable terms in relation to artificial intelligence, notably regarding Your Data and the Generated Content, from the Adaptavist EULA, apply.

You agree to use the Product in accordance with the applicable terms and usage policies of Anthropic: https://www.anthropic.com/legal/aup.

You agree to use the Product only in the countries listed in Anthropic Supported countries & regions Anthropic Commercial API access)

AI output is provided "as is" and may contain inaccuracies or incomplete information. You agree to independently evaluate and verify any output from the Product before use or reliance on the output. We make no representations or warranties and provide no indemnities with respect to the output of the Product, which is not intended to substitute for professional advice.

Supplement to the Data Processing Addendum

Date: 31 October 2025

These terms supplement and are incorporated by reference into the terms of the Adaptavist Data Processing Addendum ('DPA') and shall apply to all Personal Data processed by Adaptavist for the ScriptRunner Migration Suite product.
